WHOLESALE TERMS OF SALE

Welcome to Borneo Paris. These Wholesale Terms of Sale govern all transactions between Borneo Paris (“we,” “our,” “us”) and its wholesale customers (“you,” “the Retailer”). By placing an order, you agree to these terms.

1. ORDERING & MINIMUM ORDER QUANTITIES (MOQ)

For Minimum Order Quantity (MOQ) and order forms contact wholesale@borneo-paris.com

Orders are only binding once accepted in writing by Borneo Paris and upon receipt of the required deposit. Until both conditions are met, Borneo Paris reserves the right to decline or modify the order.

2. PAYMENT TERMS

Deposit & Balance: A 50% deposit is required at order placement, with the remaining 50% due 3 working days before shipment. Deposits are non-refundable once a production order has been placed with our manufacturer or production has commenced, whichever occurs first.

Accepted Payment Methods: Bank transfer, credit card, or other approved methods.

All payments must be made in EUR (€) unless otherwise agreed.

Late payments may result in order delays or cancellation.

3. PRICING

Wholesale prices are provided in the line sheet and subject to change without notice.

Prices do not include shipping fees, duties, or taxes unless specified.

 

4. SHIPPING & DELIVERY

Orders are shipped via UPS, DHL, or FedEx unless otherwise specified.

Shipping costs are not included in the wholesale price.

Retailers must provide a valid physical shipping address; Borneo Paris does not ship to P.O. boxes.

Estimated production and delivery time for out-of-stock items is 10-16 weeks.

Once the package is with the courier, we are not responsible for delays caused by shipping carriers or customs.

All shipments are made under FCA (Free Carrier) terms, meaning that risk transfers to the retailer once the goods are handed over to the shipping carrier. However, we can arrange shipping and insurance on behalf of the retailer, these costs are invoiced separately. The retailer remains responsible for duties, taxes, and any additional costs.

5. RETURNS & WARRANTY POLICY

No returns or exchanges are accepted, except for defective items.

Defective products must be reported within 5 days of delivery, with photographic evidence.

If an item is deemed defective, a replacement or credit will be issued at our discretion.

Slight variations in color, texture, or minor imperfections due to the manufacturing process are not considered defects.

6. INTELLECTUAL PROPERTY & BRAND REPRESENTATION

Subject to Section 8 (Marketing Assets & Limited License), the Retailer may not use the Borneo Paris name, logo, trademarks, or any images or content associated with Borneo Paris for marketing or promotional purposes without Borneo Paris’ prior written approval.

The Retailer must ensure that all brand representations align with Borneo Paris’ branding guidelines and ethical positioning. Borneo Paris may request edits or removal of any use that it deems inconsistent with its brand standards.

7. THIRD-PARTY SALES & DROPSHIPPING

Retailers may not sell Borneo Paris products on third-party platforms such as Amazon, eBay, Etsy, or Poshmark unless approved in writing.

Borneo Paris does not support dropshipping.

8.  MARKETING ASSETS & LIMITED LICENSE

Borneo Paris may provide the Retailer with brand assets, including without limitation images, videos, logos, lookbooks, written content, and e-commerce product packshots such as cut-out, flat-lay, or ghost mannequin images (the “Assets”), for use solely in connection with the marketing and sale of Borneo Paris products.

Assets are provided on a campaign and/or seasonal basis and are made available under a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license.

Standard asset set (e-commerce packshots)
Unless otherwise agreed in writing, the standard asset set provided to Retailers consists of e-commerce product packshots only. Product packshots (including cut-out, flat-lay, or ghost mannequin images) may be used on the Retailer’s owned e-commerce channels solely in connection with the sale of Borneo Paris products and only while the relevant products are actively offered for sale by the Retailer. If the Retailer stops actively offering the relevant products for sale (including delisting or discontinuation), the Retailer must remove such packshots within thirty (30) days.

Campaign, lifestyle, and editorial Assets (upon request)
Campaign, lifestyle, and editorial Assets are not provided by default and may be made available only upon the Retailer’s request, subject to Borneo Paris’ prior written approval and the usage scope confirmed in writing (including permitted channels, territory, and duration). Where an expiry date is expressly stated (in writing, within the asset folder, file name, or accompanying documentation), usage rights expire on that date. Where no expiry date is stated, usage rights automatically expire at the end of the applicable season. For the purposes of these Terms, the season runs from 1 April to 30 September, unless otherwise specified in writing by Borneo Paris.

Removal upon expiry / termination
Upon expiry of usage rights or termination of the business relationship, the Retailer must cease all use of the Assets and remove them from its channels within fourteen (14) days. Borneo Paris may revoke access to the asset folder at any time, including after expiry.

Permitted channels; restrictions
The Assets may be used solely on the Retailer’s owned channels (e.g., website, email marketing, and organic social media), in each case only as expressly permitted under the applicable license. Any use in paid advertising, third-party platforms, resale/redistribution, or sharing with third parties (including affiliates, agencies, or other partners) requires Borneo Paris’ prior written approval. Paid advertising usage (including without limitation Meta ads and Google ads) is prohibited unless expressly authorized in writing by Borneo Paris.

9. PRICING INTEGRITY, DISCOUNTING & PROMOTIONS

Recommended Retail Price (RRP)
Borneo Paris provides a recommended retail price (“RRP”) for each product. The Retailer agrees to price and present Borneo Paris products in a manner consistent with the brand’s positioning.

Discounting Restrictions
The Retailer may not discount, mark down, or otherwise offer Borneo Paris products at a reduced price (including through promo codes, coupons, bundles, gifts-with-purchase, or other incentives that reduce the effective selling price) without Borneo Paris’ prior written approval. If approval is granted, the maximum permitted discount shall not exceed 10% off RRP, and only for the specific products, channels, dates, and territory confirmed in writing by Borneo Paris.

Promotional Periods
Participation in major promotional periods (including but not limited to Black Friday, Cyber Week, end-of-season sales, or site-wide promotions) requires Borneo Paris’ prior written approval, even if the Retailer intends to apply discounts below the maximum permitted discount.

Prohibited Practices
Without Borneo Paris’ prior written approval, the Retailer may not:
(a) include Borneo Paris products in site-wide or automatic discounting;
(b) apply stacked promotions or combined incentives that reduce the effective selling price;
(c) advertise Borneo Paris products as “on sale,” “discounted,” or “clearance.”

10. FORCE MAJEURE

Borneo Paris is not liable for delays or failure in performance due to causes beyond our control, including but not limited to acts of God, shipping disruptions, labor disputes, or regulatory changes.

11. DISPUTE RESOLUTION & GOVERNING LAW

These terms are governed by the laws of France.

Any disputes arising from these terms will be subject to the exclusive jurisdiction of the French courts.

Both parties agree to attempt mediation before pursuing legal action.

12. CHANGES TO TERMS

Borneo Paris reserves the right to update these terms at any time.
